THIS CONTRIBUTOR AGREEMENT (the “Agreement”), which includes the standard terms and conditions attached at Appendix A, is entered into between you (“Contributor”) and MotionElements Private Limited, a Singapore company (“MotionElements”). This Agreement is in addition to the Terms and Conditions of use applicable to the website that all persons providing content to, or downloading content from, have previously accepted. In consideration of the mutual promises herein contained and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, MotionElements and Contributor hereby agree as follows:

Content User(s) | Anybody using the Content, including Licensee, subcontractors, end-users and clients. |
Contributor(s) | Individual owner(s) and copyright holder(s) of the Content or one authorized by written agreement with owner(s) and copyright holder(s) to represent the Content and enter into this Agreement on behalf of copyright owner(s). |
End Product | A work created by or on behalf of you that (a) for Video Template Content, is a customized and rendered video of the Content, or (b) For other types of Item, incorporates the Content together with other substantial independently created works, so that it is larger in scope and different in nature than the Content. |

Net License Fees | Gross license fees received by us after deduction of currency conversion costs, chargebacks, refunds, contributor’s discounts, sales tax, use tax or any other taxes or duties where applicable. |

Submission and Acceptance of Content
Relationship and Duties
Royalty Payment
Pricing: All prices are set by Contributor, except for Content offered under the Global Content+ Program. MotionElements will have no liability for any errors in pricing that are not proved to have been caused directly by our gross negligence or willful misconduct.
Royalties and Statements: For any of your Content sold by MotionElements in accordance with this Agreement, we shall pay to you an amount based on our Royalty Payment Structure specified in Appendix B (“Royalties”). All discounts issued by us and administrative fees by Payment Processors in relation to the processing of sales transactions of Contributor Content will be borne by MotionElements. All administrative fees by Payment Processors in relation to the processing of royalty payment transfer to you will be borne by you. MotionElements will use its best efforts to pay royalties on a monthly basis between the 15th and 18th day of the month following the month in which the Content is licensed. The following may be deducted or held from royalties that may otherwise be payable: (1) any amounts owed to MotionElements by Contributor; (2) legal and other reasonable fees and expenses incurred in enforcing this Contract or the other contracts contemplated herein, including costs associated with claims threatened relating to any matter which is the subject of a representation, warranty or indemnity under this Contract; and (3) applicable taxes or other withholdings required by applicable law.
Payout Minimum Threshold, Account Inactivity & Unclaimed Earnings: MotionElements will process payouts to Contributors once their accrued earnings reach the Payout Minimum Threshold of USD $25.00. If a Contributor does not reach the Payout Minimum in a given accounting period, the earnings will roll over to the next period until the threshold is met. Contributors are responsible for maintaining accurate and up-to-date account information, including valid payment details. If an account exhibits prolonged inactivity or if payments cannot be processed due to outdated or incorrect payment information, MotionElements will:
Contributors who close their accounts before reaching the Payout Minimum forfeit any remaining earnings in their account balance.
Dispute: If MotionElements is prevented in any way from using rights granted under this Contract because those rights (and/or the Content itself) are found or alleged to be an infringement of the rights of a third party, we may refuse to pay royalties until the dispute is resolved to our satisfaction. If MotionElements discovers or determines, in its reasonable discretion, that the Content provided by the Contributor has been made available for sale, license, or free distribution in breach of this Contract, we may refuse to pay royalties.
Royalty Statement: MotionElements shall provide Contributor with a royalty statement setting forth the licensing by MotionElements of the Content during that reporting period.
Credit For Refunds: In the event that a chargeback or refund of a payment received or accrued from a third party is required, MotionElements is specifically authorized to deduct Contributor’s share of this overpayment from any subsequent amount due.
Term and Termination
Term: This Agreement will remain in effect from the time of initial content website upload by Contributor to MotionElements until terminated.
Termination: This Agreement can be terminated by Contributor at any time by giving thirty (30) days written notice to MotionElements. This Agreement can be terminated by MotionElements at any time by giving thirty (30) days written notice to Contributor. MotionElements may terminate this Agreement with respect to all or a portion of the content supplied hereunder if such content violates, or in the opinion of MotionElements, may violate the law or the rights of third parties.
Termination Due to Breach: MotionElements reserves the right to suspend or terminate a Contributor’s account immediately and without prior notice if the Contributor violates any material terms of this Agreement, including but not limited to:
In the event of termination due to a material breach, MotionElements reserves the right to withhold any unpaid earnings as liquidated damages, in addition to any other remedies available under law. MotionElements will notify the Contributor of the termination and its reasons, where feasible.
Continued Rights: Regardless of termination of this Agreement, if Content has been paid for in full and sublicensed to a MotionElements Customer, this Agreement and the licenses granted hereunder will survive until the end of the period of any such sublicenses.
Effect of Termination: Upon the termination of this Agreement MotionElements will withdraw all posted Contributor Content from the MotionElements Catalog within ninety (90) days following the effective date of the termination. Upon termination of this Agreement, MotionElements, at its option, may destroy all digitized files of Contributor Content, or retain the file for archival purposes for a period of three (3) years to give Buyers of Content sufficient time to download their purchases.
Operation of Website: All Customers must accept the terms and conditions of the MotionElements Website before they are allowed to gain access to the website. The terms and conditions expressly prohibit violation of Republic of Singapore’s intellectual property laws relating to any use of content contained on the Website. MotionElements has adopted security measures consistent with industry standards utilized in the web hosting and online services industries in order to prevent unauthorized access to the Website and to prevent the unauthorized copying or distribution of any content maintained on the Website. MotionElements does not warrant that these security systems and measures will prevent unauthorized access, copying, distribution or other illegal actions from occurring. In the event MotionElements discovers any unauthorized access to its systems, including the Website, or any unauthorized copying, distribution, or other similar actions involving the Contributor Content, MotionElements will provide notice to Contributor as soon as practicable. MotionElements does not have the duty to locate or take legal action against infringers; however, MotionElements will cooperate with Contributor in pursuing perpetrators of such infringement and provide information relevant to the infringement which MotionElements is reasonably capable of providing, including website visits and tracking of the offending party.
YouTube Content ID or Similar Service: MotionElements will not make use of YouTube Content ID or any similar service to further monetize the Contributor’s content. Furthermore, MotionElements will not prohibit or hinder buyers of Contributors content from allowed usage, as prescribed by the terms by our Content License Agreement.
Subscription Fees: Contributor hereby agrees to allow MotionElements, at any time in the future, to charge a subscription fee to its customers and prospects, for access to the Website or any portion thereof.
The following Standard Terms and Conditions apply to the Contributor Agreement by and between MotionElements and Contributor (the “Agreement”)

Global Content+ Program
Contributor Content may also be licensed through other MotionElements programs, including but not limited to those under the Global Content+ Program (GCP).
For any of your Content licensed under the Global Content+ Program, MotionElements shall pay to the Contributor an amount equal to fifty percent (50%) of the Net License Fees received by MotionElements from the licensing of such Content under the Global Content+ Program.

Participation in such programs is subject to additional terms, and payments shall be made in accordance with the applicable program agreements. Contributors are responsible for reviewing and understanding the terms of any such program before opting in. MotionElements reserves the right, at its sole discretion, to introduce, modify, or discontinue such programs as necessary.
